TERMS AND CONDITIONS

SOVA Yoga Studio LLC d/b/a SOVA Wellbeing

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE SOVA WELLBEING PLATFORM. BY ACCESSING OR PURCHASING ANY COURSE OR SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS.

1. PARTIES AND ACCEPTANCE
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and SOVA Yoga Studio LLC d/b/a SOVA Wellbeing, a Virginia limited liability company ("SOVA Wellbeing," "we," "us," or "our"), governing your access to and use of the SOVA Wellbeing online platform, website, mobile application, courses, and related content (collectively, the "Platform").
By accessing the Platform, creating an account, or purchasing any course or program, you affirm that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you do not agree to these Terms, you may not use the Platform.

2. DESCRIPTION OF SERVICES
SOVA Wellbeing provides online wellness education and programming, which may include but is not limited to:
•   Yoga instruction, movement, and fitness programming
•   Mental wellness and mindfulness content
•   Nutrition and healthy eating guidance
•   Holistic and integrative wellness courses
•   Downloadable materials, video content, and written resources

All courses and content are for general educational and informational purposes only and do not constitute medical advice, diagnosis, or treatment.

3. ELIGIBILITY
You must be at least 18 years of age to access or purchase any course or service on the Platform. By using the Platform, you represent and warrant that you meet this requirement. SOVA Wellbeing reserves the right to terminate access for any user who misrepresents their age or eligibility.

4. ACCOUNTS AND REGISTRATION
To access certain features of the Platform, you may be required to create an account. You agree to:
•   Provide accurate, current, and complete information during registration
•   Maintain and promptly update your account information
•   Keep your login credentials confidential and secure
•   Notify us immediately of any unauthorized use of your account
•   Accept responsibility for all activity that occurs under your account

SOVA Wellbeing is not liable for any loss or damage arising from your failure to protect your account credentials.

5. PURCHASES AND PAYMENT
5.1 One-Time Purchases
All course and program purchases on the Platform are one-time transactions unless otherwise specified. Prices are listed in U.S. dollars and are subject to change without notice. Your purchase is confirmed upon receipt of payment.
5.2 Payment Processing
Payments are processed through Stripe or other third-party payment processors. By making a purchase, you authorize us to charge your designated payment method. You agree to the applicable third-party payment processor's terms and conditions. SOVA Wellbeing does not store your full credit card information.
5.3 Taxes
You are responsible for any applicable federal, state, or local taxes arising from your purchase. Where required by law, SOVA Wellbeing will collect and remit applicable sales tax.
5.4 Refund Policy
Due to the digital and immediate-access nature of our courses, ALL SALES ARE FINAL. We do not offer refunds, exchanges, or credits once a purchase has been completed and access has been granted, except as required by applicable law.
If you experience a technical issue that prevents access to purchased content, please contact us at [legal@sovawellbeing.com] within 7 days of purchase and we will work to resolve the issue.

6. HEALTH AND WELLNESS DISCLAIMER
IMPORTANT NOTICE REGARDING HEALTH AND PHYSICAL ACTIVITY:

The wellness content, courses, and programs offered on the Platform are for general informational and educational purposes only. The content is not intended to be a substitute for professional medical advice, diagnosis, or treatment.

BEFORE BEGINNING ANY EXERCISE, YOGA, NUTRITION, OR WELLNESS PROGRAM, YOU SHOULD CONSULT WITH A QUALIFIED HEALTHCARE PROVIDER, ESPECIALLY IF YOU HAVE OR SUSPECT ANY MEDICAL CONDITION, INJURY, ILLNESS, OR ARE PREGNANT.

By using the Platform and participating in any course or program, you acknowledge and agree that:
•   You participate in all wellness activities at your own risk
•   SOVA Wellbeing's instructors are not licensed physicians, physical therapists, or mental health professionals unless expressly stated
•   You are solely responsible for determining whether any course or activity is appropriate for your individual health and fitness level
•   You will not hold SOVA Wellbeing responsible for any injury, illness, or adverse outcome resulting from participation in any course or program

7. INTELLECTUAL PROPERTY
7.1 Ownership
All content on the Platform, including but not limited to video recordings, audio files, written materials, course curricula, graphics, logos, trademarks, and the "SOVA Wellbeing" and "SOVA Yoga Studio" names and marks, are the exclusive property of SOVA Yoga Studio LLC d/b/a SOVA Wellbeing or its licensors and are protected by United States copyright, trademark, and other intellectual property laws.
7.2 Limited License
Upon purchase of a course, SOVA Wellbeing grants you a limited, non-exclusive, non-transferable, revocable license to access and view the purchased content for your own personal, non-commercial use only.
7.3 Prohibited Uses
You may not, without prior written consent from SOVA Wellbeing:
•   Reproduce, copy, distribute, or resell any course content
•   Share your account credentials or course access with others
•   Record, screenshot, or capture video or audio content
•   Create derivative works based on Platform content
•   Use Platform content for commercial purposes
•   Remove any copyright, trademark, or proprietary notices

8. USER CONDUCT
You agree not to use the Platform to:
•   Violate any applicable federal, Virginia state, or local law or regulation
•   Harass, abuse, threaten, or harm any person
•   Upload or transmit viruses, malware, or other harmful code
•   Attempt to gain unauthorized access to any portion of the Platform
•   Engage in any conduct that restricts or inhibits any user's enjoyment of the Platform
•   Engage in scraping, data mining, or automated data collection
•   Impersonate any person or entity

9. THIRD-PARTY LINKS AND SERVICES
The Platform may contain links to third-party websites, services, or content. These links are provided for convenience only. SOVA Wellbeing does not endorse, control, or assume responsibility for any third-party content, privacy practices, or services. Your use of any third-party site is at your own risk and subject to that party's terms and conditions.

10. DISCLAIMER OF WARRANTIES
THE PLATFORM AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

SOVA WELLBEING DOES NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE; (B) DEFECTS WILL BE CORRECTED; (C) THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE PLATFORM WILL MEET YOUR EXPECTATIONS.

11. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY VIRGINIA LAW, IN NO EVENT SHALL SOVA YOGA STUDIO LLC D/B/A SOVA WELLBEING, ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, INSTRUCTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, BODILY INJURY, LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR ANY CONTENT, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL SOVA WELLBEING'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO SOVA WELLBEING IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

12. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless SOVA Yoga Studio LLC d/b/a SOVA Wellbeing, its members, managers, employees, agents, and instructors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any physical injury or harm you sustain in connection with a wellness program or course.

13. GOVERNING LAW AND DISPUTE RESOLUTION
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of laws principles. The Virginia Consumer Protection Act and other applicable Virginia statutes shall apply where required.
13.2 Jurisdiction and Venue
Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in the Commonwealth of Virginia. You hereby consent to the personal jurisdiction of such courts.
13.3 Informal Resolution
Before initiating any formal legal proceeding, you agree to first contact SOVA Wellbeing at kelly@sovawellbeing.com and attempt to resolve the dispute informally for a period of at least thirty (30) days.
13.4 Class Action Waiver
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST SOVA WELLBEING.
14. MODIFICATIONS TO TERMS
SOVA Wellbeing reserves the right to modify these Terms at any time in its sole discretion. We will provide notice of material changes by updating the "Effective Date" at the top of this document and, where appropriate, by sending notice to the email address associated with your account. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms.

15. TERMINATION
SOVA Wellbeing reserves the right to suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to access Platform content will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7, 10, 11, 12, and 13.

16. SEVERABILITY AND ENTIRE AGREEMENT
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and SOVA Wellbeing with respect to your use of the Platform.
